Support for (acute) Corporate Restructuring

Immediate assistance to eliminate (acute) corporate crises

‘Crisis can be a productive state. You just have to take away the flavour of disaster.’

Max Frisch
Swiss writer and architect, (1911 – 1991)

Restructuring to reorganise an ailing company is a very complex process because – if it is to be effective in the long term – it must have a profound and at the same time well-coordinated impact on the entire company. Tackling such comprehensive changes requires courage, determination and specific expertise. Unlike a transformation, which must also be implemented systematically and consistently, but for which sufficient time and financial resources are available, a reorganisation in an acute crisis situation requires urgency and creativity and makes a swift and systematic approach and courageous implementation essential to secure the existence of the company concerned. A successful and sustainable strategic, operational and financial corporate reorganisation is only possible if this decathlon is successful. In this respect, corporate restructuring with the aim of sustainable reorganisation is the greatest management challenge. In his specialist book published by Haufe in February 2025, Dr Boysen has vividly described tried-and-tested solutions for industrial companies and industry-related service providers.

Is your company in an acute crisis, or is it clearly heading towards one?

We provide you with holistic and targeted support on the path to corporate restructuring.

We help you to get some financial ‘breathing space’ in the short term in order to quickly get your company back on track strategically and operationally, and we keep a close eye on the risk of insolvency throughout the entire process. A rough analysis of the causes of the crisis and a rough market assessment are essential in order to ‘buy’ the necessary time with the key financing partners. In acute crisis situations, financing partners usually expect a reorganisation concept with a positive going concern forecast for the decision on further financing, which we can prepare quickly.

At the same time, we initiate effective short-term performance management measures to increase contribution margins and cut costs immediately. In an acute crisis, companies are often inhibited from recognising and taking such consequent measures deeply enough.

We also take direct charge of well-coordinated, professional internal and external crisis communication in order to secure the favour and commitment of as many service partners, suppliers and customers as possible for the company and to keep top performers among the employees in the company.

As soon as we have jointly secured the key financiers for a comprehensive restructuring programme, we play the entire gamut from strategic readjustment and sharpening of the business model to product management, product development and sales activation to noticeable cost reductions with the aim of achieving both efficiency and resilience. Proven means of achieving this are process optimisation, in particular the introduction of an effective innovation process, ensuring an output-oriented sales process and designing an organisational structure that supports the process. The effectiveness of decision-making processes is at least as essential for successful reorganisation. To this end, we scrutinise and optimise the articles of association and the management structures, starting with the shareholders.

In addition to stand-alone scenarios, we also examine options for co-operation and M&A processes, which we include in the solution field.

For this demanding workload, you need generalists with the experience in effectively solving crises and a network of proven experts. And that’s exactly what you get with us.

Our Corporate Restructuring Services

Securing Liquidity & Financing Structure

We also help you to break up desolate processes in order to initiate a profound change in your company. We manage a leap in two dimensions of change management: we ensure both the currently required change to a new target state and the further ability to change.

In an acute economic crisis, we help you to secure your company’s liquidity in the short term in order to implement a reorganisation. Sources include forms of internal financing, but also debt rescheduling and asset-based financing such as sale & lease-back.

In the medium to long term, the financing structure has a significant influence on the financing costs and flexibility of the company. We therefore review the financing structure and look for feasible optimisations. With our proven contacts, we can quickly tap such sources for you.

Strategy & Operations

Once liquidity is secured in the short term, we help you to immediately define and swiftly implement an effective strategic way.

We support you in introducing a strategic discourse in your company to ensure that your company is strategically orientated towards attractive parcial markets fitting to your (viable) capabilities.

At the same time, we help you to move your company towards a market-orientated product range and to activate your sales department. In the context of the performance management we suppotrt you in reducing costs effectively in the short term without any serious loss of performance and, if necessary, in designing a reconciliation of interests and a social plan to reduce personnel costs in a socially responsible manner with a view to the target workforce.

Leadership & Management structure

Good decision-making processes and effective leadership are essential prerequisites for necessary changes and successful reorganisation. We help you to create leadership qualities and organisational structures that support the business processes in the best possible way. The functions from which, at the end, jobs can be defined are derived from the process steps – not the other way round.

We help you to use the expertise of your employees in the reorganisation process by involving them in the design and in the decision-making processes (empowerment) and by aligning expectations and opportunities at the interfaces (feedback).

Shareholders & M&A Process

The owners’ strategy has a decisive influence on the company’s opportunities and performance. In order to utilise all potential, we also scrutinise the intentions and the possibilities of the shareholders as a part of the corporate restructuring. In the interests of the company and usually also the shareholders, an M&A process is often a necessary prerequisite for a successful reorganisation from a strategic point of view and/or for access to capital, which we then structure and support in consultation with the shareholders.

Why corporate restructuring becomes necessary

There are various reasons why a company needs to be restructured. In most cases, a crisis is at the beginning of such an endeavour, which can arise from different areas and therefore also have different objectives:

  • Preventive: Ideally, restructurings are carried out before a concrete crisis becomes apparent.
  • Liquidity crisis: At the latest when a company is in danger of becoming insolvent, urgent countermeasures must be taken to avoid insolvency.
  • Profit and sales crisis: If costs, particularly material, personnel and energy costs, rise but cannot be offset by price increases or scaling, margins shrink and lead to a revenue deficit.
  • Structural crisis: Companies going through a sales and earnings crisis usually lack competitive and market-orientated products. This shortcoming is often caused by unsuitable processes and decision-making structures.
  • Strategic crisis: If a company is no longer competitive, this can often be attributed to a misguided strategic intention and an inappropriate business model. Strategic readjustment requires the ability to make decisions and take action.
  • Shareholder-stakeholder crisis: If shareholders adhere to an approach that is no longer appropriate, if there is disagreement among the shareholders and if the shareholders are unable to make decisions, possibly due to outdated articles of association, this leads to conflicts with the management and blocks the company’s development.

How we implement the restructuring in your company

With our restructuring support, we adapt to the specific crisis phase in which your company finds itself. In any economic crisis, quick and courageous action is crucial to the survival of the company. Short-term financial measures are given absolute priority before we turn our attention to short-term performance measures.

This buys the company time in which we can develop and introduce a finely tuned package of medium to long-term measures. Using appropriate simulations and planning games, we always ensure that your company remains financially secure throughout the entire process. Finally, we help to set up and implement early warning systems that make future signs of crisis recognisable at an early stage.
